These Terms of Service (the "Terms") are a legal agreement between you and Bittreo Technologies Ltd. ("Bittreo," "we," "us" or "our"), which operates the Vancouver Bitcoin and VBX brands. They govern your access to and use of the Services described below. Please read them before creating an account, authorizing a transaction or using a Service.
By checking the acceptance box during online registration, confirming an in-person transaction after these Terms have been made available to you, or otherwise using a Service after being presented with these Terms, you agree to be bound by them. If you do not agree, do not use the Services.
Important OTC carve-out. A transaction conducted through our shared over-the-counter desk may also be governed by a separate Master OTC Trading Agreement. Section 12 explains which agreement controls.
These Terms apply across Canada to services offered under the Vancouver Bitcoin and VBX names, including website use and inquiries, physical-location transactions, telephone-, email- or text-arranged transactions, business transactions, online account transactions, and the VBX Pay Bills service.
In these Terms:
· “Services” means the websites, accounts, exchange transactions, Pay Bills service, support channels and related services offered by Bittreo under the Vancouver Bitcoin or VBX name.
· “Standard Transaction” means a transaction executed as a market order under Section 6, whether handled manually through Vancouver Bitcoin or automatically through VBX.
· “Estimate” means indicative transaction information shown or communicated before execution. An Estimate is not a fixed or guaranteed quote.
· “OTC Transaction” means a transaction handled by our shared OTC desk under an applicable Master OTC Trading Agreement.
· “Pay Bills” means the VBX service through which a customer sells supported virtual currency and directs Bittreo to send the resulting fiat funds to a designated biller or payee.
· “virtual currency” includes cryptocurrency and other supported digital assets.
The channel or brand used to access a Standard Transaction does not change the pricing, execution, cancellation, funding or finality rules in these Terms unless we expressly state otherwise.
By using a Service, you represent and agree that:
· you have reached the age of majority in your province or territory and have capacity to enter into a binding contract;
· you are not prohibited from using the Services under applicable law;
· all information and documents you provide are complete, current and accurate;
· you are acting for yourself unless Bittreo has approved you to act for a business or another authorized person; and
· you understand the risks of virtual currency transactions.
If you act for a corporation, partnership or other organization, you represent that you have authority to bind it. References to “you” then include both you and the organization. We may require evidence of authority and information about ownership, control and business activities.
Services are intended for customers in Canada. We may restrict availability by province or territory, customer category, transaction type, payment method, asset, network or location.
Some Services require an account and identity or business verification. You must provide accurate information, keep it current, protect your credentials and promptly notify the relevant brand if an account, device, email address or telephone number used with the Services may have been compromised.
An account is an access and verification tool. It is not a bank account, deposit account or custodial virtual currency account. We do not hold ongoing customer balances, private keys or seed phrases through the Services.
We may require additional verification before acting on an instruction, changing account details, accepting funds, releasing a payout, sending virtual currency or processing Pay Bills instructions. You are responsible for activity you authorize through your account.
Bittreo is a Canadian money services business and must comply with applicable anti-money laundering, anti-terrorist financing, sanctions, recordkeeping, reporting, client identification and related requirements.
You agree to provide information we reasonably request, including information about identity, beneficial ownership, occupation or business, transaction purpose, source of funds, source of wealth, payment origin, wallet ownership, intended use and counterparties.
To the extent permitted by law, we may delay, condition, decline, refuse, suspend or cancel a requested transaction; restrict or close an account; withhold an uncompleted payout pending review; or require more information where reasonably considered necessary for compliance, sanctions screening, fraud prevention, payment verification, risk management, security or protection of any person.
We may make reports and disclose information to regulators, law enforcement, financial institutions or others when required or permitted by law. We may be legally prohibited from telling you about a report or explaining a compliance decision.
Vancouver Bitcoin provides manually assisted virtual currency exchange services through physical locations, websites and communications including telephone, email and text. VBX provides automated online exchange services and Pay Bills. Approved business customers may use either brand. Both brands may refer eligible customers to the shared OTC desk.
Depending on availability and approval, we may exchange Canadian dollars for supported virtual currency or supported virtual currency for Canadian dollars. Supported assets, networks, billers, locations, payment methods and limits may change. A website listing or previous transaction does not guarantee future availability.
Bittreo acts as principal in an exchange transaction unless it expressly states otherwise. Nothing in these Terms requires Bittreo to accept or complete a requested transaction.
Before a Standard Transaction, you will receive or see an Estimate based on then-current market information. An Estimate is indicative only and is not a fixed price, guaranteed rate or promise of the final amount you will receive.
When you accept a Standard Transaction, you authorize Bittreo to submit a market order through its available execution or liquidity sources. The transaction executes at the best market rate available to Bittreo through those sources at the time of execution. This does not mean the best price available across every market or provider.
The final rate and amount may differ from the Estimate because of market movement, liquidity, spread, slippage, partial fills, order size, system latency or other execution conditions. By accepting, you accept this market-execution risk.
Applicable Bittreo fees and transaction limits will be shown or communicated before authorization. Unless the disclosure states otherwise, a fee based on transaction value is calculated using the final executed amount. Banks, blockchain networks, payment providers and other third parties may charge separate fees that Bittreo does not control.
We may change fees and limits prospectively. A change does not alter a completed transaction or an OTC Transaction already binding under the applicable Master OTC Trading Agreement.
You authorize a transaction through the applicable online confirmation, in-person confirmation, or documented instruction given by telephone, email or text. We may require reconfirmation if material details change before execution.
Before authorizing, you must review the fiat amount, estimated virtual currency amount, applicable fees, payment or payout method, asset, network, destination information and disclosed conditions. A confirmation or receipt may record final execution details after the market order has executed.
Electronic records, account logs, recorded or documented instructions, messages, confirmations and receipts may be used to form and prove an agreement or transaction.
A virtual currency purchase is completed and final when Bittreo initiates the virtual currency withdrawal to the destination wallet information you approved. A virtual currency sale is completed and final when Bittreo sends the fiat payout using the approved payout method. A Pay Bills transaction is completed and final as stated in Section 11.
After the applicable completion point, the transaction cannot be cancelled, refunded or reversed by Bittreo. Initiating a blockchain withdrawal does not mean the network has confirmed it, and network confirmation time is outside our control.
You may request cancellation before the completion point. Approval is entirely at Bittreo’s discretion, subject to rights that cannot legally be waived. Because a market order may already have executed, an approved cancellation may require an offsetting transaction and may be subject to disclosed fees, market losses and reasonable costs already incurred.
If Bittreo approves a refund, it may return funds through the original method or another verified method. We may require further verification and may deduct disclosed fees or costs to the extent permitted by law.
Nothing in these Terms limits a cancellation, refund or remedy that applicable law does not permit the parties to waive.
For a purchase, you must control the destination wallet unless we expressly approve another arrangement for an authorized business transaction. For a sale, virtual currency must come from the verified customer or approved business and from a wallet or source acceptable to us.
You are responsible for verifying the asset, wallet address, blockchain network and any tag, memo or other routing information. You must not provide us with a private key, seed phrase or wallet password.
We are not responsible for losses caused by inaccurate wallet information supplied or approved by you, an unsupported or incompatible network, your loss of wallet access, or delivery to a wallet you do not control, except to the extent caused by our failure to follow transaction information we confirmed we had accepted.
Blockchain transfers may be irreversible. We do not control miners, validators, congestion, confirmation times, forks, protocol changes or other network events. We may set or change the number of confirmations required before treating incoming virtual currency as received.
For virtual currency purchases, Bittreo may accept cash, Interac e-Transfer, online bank bill payment, electronic funds transfer (EFT) or wire transfer. For virtual currency sales, Bittreo may pay out by cash, Interac e-Transfer, EFT or wire transfer. Availability is subject to approval, limits and operational requirements.
In this section, “online bank bill payment” means using the “Pay Bills” feature of online banking to send funds to Bittreo as a listed payee. It is different from VBX’s Pay Bills service described in Section 11.
Payments must come from, and payouts must be made to, the verified customer or an approved business account unless we expressly approve another lawful arrangement. We may reject or return third-party payments or require proof of ownership and authority.
A payment is not final merely because it appears pending, credited or available. We may wait for cleared and irrevocable funds or required blockchain confirmations before execution or payout. You remain responsible for a reversed, recalled, dishonoured, fraudulent or unauthorized payment and reasonable resulting costs, to the extent permitted by law.
Payment and payout timing depends on banks, payment systems, blockchain networks, business hours, compliance review and other factors. Unless expressly agreed in writing, timing estimates are not guarantees.
Pay Bills allows an eligible VBX customer to sell supported virtual currency, including USDC where available, and instruct Bittreo to send the resulting fiat amount to a designated biller or payee. The underlying sale is a Standard Transaction executed under Sections 6 and 7.
You are solely responsible for entering and verifying the correct biller or payee, account or reference number, payment amount and other payment details. We may rely on the instructions you approve and may refuse unsupported, incomplete, suspicious or prohibited instructions.
A Pay Bills transaction is completed and final when Bittreo sends the fiat payment to the designated biller or payee using the instructions you approved. Bittreo does not guarantee when the biller or payee will receive, credit or post the payment. You remain responsible for due dates, late charges, service interruption and confirming that the payment was credited.
If a bill payment is rejected or returned, Bittreo may refund the returned amount to you after required review, less disclosed third-party charges, market losses, administrative fees or other applicable costs, to the extent permitted by law. A returned payment does not reverse the completed virtual currency sale.
The Vancouver Bitcoin and VBX brands share an OTC desk. If you enter into a Master OTC Trading Agreement with Bittreo, that agreement, its schedules and transaction-specific confirmations govern OTC Transactions conducted under it.
The Master OTC Trading Agreement governs requests for quote, firm quotes, quote expiry, acceptance, binding effect, confirmations, pricing and settlement for OTC Transactions. The Estimate and market-order rules in Section 6 do not replace those OTC provisions.
If these Terms conflict with an applicable Master OTC Trading Agreement concerning an OTC Transaction, the Master OTC Trading Agreement controls. These Terms continue to govern Services and Standard Transactions outside that agreement. Entering into an OTC agreement does not make every transaction an OTC Transaction.
You must review transaction details and promptly report a suspected error. Before completion, we may correct an error, cancel a transaction or ask you to approve revised details. We are not required to honour an obvious typographical, technical, calculation, display or pricing error.
If Bittreo sends more fiat or virtual currency than you were entitled to receive, you must not use or transfer the excess and must promptly return it as instructed. If you receive less than the confirmed amount because of our confirmed error, we may correct the shortfall using the original method or another agreed method.
A difference between an Estimate and a properly executed market order, a market movement, third-party delay, returned bill payment, or customer-supplied wallet, biller or payment error is not by itself a Bittreo error.
Virtual currency is volatile and may lose some or all of its value. Transactions may be affected by rapid price changes, limited liquidity, cybersecurity incidents, fraud, legal changes, protocol failures, forks, congestion, loss of wallet access and other events.
Virtual currency transactions may not have the protections associated with deposits at a bank or credit union. We do not guarantee the value, utility, legality, tax treatment or continued availability of any virtual currency, network, biller, payment rail or Service.
You are responsible for deciding whether a transaction is appropriate, securing your devices and wallets, maintaining records, meeting tax obligations and obtaining independent professional advice.
You must not use, attempt to use, or assist another person to use the Services:
· for fraud, money laundering, terrorist financing, sanctions evasion, ransomware, theft, market manipulation or other unlawful activity;
· for an undisclosed third party or to conceal the true owner, source, destination or purpose of funds or virtual currency;
· using false, altered, misleading or unauthorized information, documents, accounts, payment methods, wallets or bill-payment instructions;
· to evade limits, verification, reporting or compliance requirements, including by structuring transactions;
· to interfere with, probe, damage or gain unauthorized access to a website, account, system or data; or
· to introduce malware, scrape without authorization, impersonate another person, or infringe intellectual property or privacy rights.
We may refuse a Service or transaction, impose limits or conditions, suspend access, or close an account where reasonably necessary for compliance, fraud prevention, security, payment or operational risk, market conditions, asset or network support, breach of these Terms, or protection of any person.
Where permitted by law, we may act without advance notice. We will handle funds or virtual currency already received in accordance with law, these Terms and lawful directions from a competent authority.
You may stop using the Services and request account closure, subject to pending obligations and legal record-retention requirements. Provisions that by their nature should continue will survive, including finality, payment obligations, intellectual property, liability limitations, indemnity and general terms.
The Services may depend on banks, payment networks, billers, telecommunications providers, identity and compliance providers, exchanges, liquidity providers, wallet software, blockchain networks, hosting providers and other third parties. We do not control their systems, processing times, terms or independent acts.
To the extent permitted by law, we are not responsible for delay or failure caused by events beyond our reasonable control, including outages, cyberattacks, labour disputes, disasters, governmental action, banking disruption, market closure, network failure or interruption of essential suppliers. This does not excuse obligations that applicable law does not permit us to exclude.
Third-party links are for convenience. Your use of a third-party platform is governed by that party’s terms and privacy practices.
Bittreo does not hold virtual currency or private keys on your behalf and does not provide an ongoing custodial wallet or stored-value service. A temporary operational step needed to receive, exchange or transmit assets for a transaction does not create an ongoing custodial relationship.
We do not provide investment, securities, legal, tax, accounting or financial advice, and do not recommend whether you should buy, sell or hold a virtual currency. No fiduciary, advisory, trustee or agency relationship is created by the Services, except to the extent applicable law provides otherwise.
The websites, software, interfaces, text, graphics, branding, logos and other content made available under the Vancouver Bitcoin and VBX brands are owned by or licensed to Bittreo and protected by law.
We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the interfaces for your lawful use of the Services. You may not copy, modify, distribute, sell, license, reverse engineer, create derivative works from or commercially exploit them except with written permission or as permitted by law.
To the maximum extent permitted by law, the websites, accounts, information and Services are provided “as is” and “as available.” We do not warrant uninterrupted, error-free or secure operation, availability at a particular time, or that website information will always be complete or current.
To the maximum extent permitted by law, Bittreo and its directors, officers, employees, contractors and affiliates will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or loss of profit, revenue, opportunity, data, goodwill or anticipated savings arising from or relating to the Services.
To the maximum extent permitted by law, Bittreo’s aggregate liability arising from or relating to a particular non-OTC transaction will not exceed the fees paid to Bittreo for the affected transaction. Liability for an OTC Transaction is governed by the applicable Master OTC Trading Agreement.
These exclusions and limits do not apply to liability that cannot lawfully be excluded or limited, or to the extent liability is finally determined to result from Bittreo’s fraud, wilful misconduct or gross negligence.
To the extent permitted by law, you will indemnify and hold harmless Bittreo and its directors, officers, employees, contractors and affiliates from third-party claims, losses, liabilities and reasonable costs arising from your unlawful use of the Services, material breach of these Terms, infringement of another person’s rights, or information or instructions you were not authorized to provide.
This section does not require a consumer to indemnify Bittreo for Bittreo’s own negligence, breach of these Terms or conduct for which indemnification cannot lawfully be required.
We collect, use, disclose, store and retain personal information as described in the privacy policy applicable to the brand or Service you use and as permitted or required by law:

Information may be shared with service providers, financial institutions, billers or payees, regulators, law enforcement and others for verification, transaction processing, compliance, fraud prevention, security, support and other purposes described in the applicable privacy policy. Some providers may process information outside Canada.
Bittreo may communicate under the Vancouver Bitcoin or VBX name by email, telephone or text message. Text messages may include customer-requested pricing responses, transaction or account updates, product announcements or promotions, and invitations to provide feedback or post a review.
Where required by law, we will obtain consent before sending commercial electronic messages. Consent to promotional messages is not a condition of purchasing a Service. You are responsible for providing contact information you are authorized to use. Message and data rates may apply.
You may withdraw from an SMS program by replying STOP to the sending number. We will send a confirmation and stop messages through that program in accordance with applicable law. To receive those messages again, you must opt in again.
Opting out does not cancel a pending transaction or prevent another legally permitted communication about an active transaction, account, security issue or legal requirement. Electronic delivery is subject to carrier and provider delays outside our control.
We may change, suspend or discontinue a Service, asset, network, payment method, biller, location, feature or limit. A change does not alter a completed transaction or a binding OTC Transaction.
We may revise these Terms by posting an updated version and changing the effective date. Where required by law, we will give additional notice or obtain consent. Continued use after revised Terms take effect constitutes acceptance only to the extent permitted by law. If you do not agree, stop using the affected Services.
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any mandatory right to bring a claim elsewhere, courts located in Vancouver, British Columbia will have exclusive jurisdiction over disputes arising from these Terms or the Services.
Nothing in these Terms limits rights or remedies under consumer protection or other law that cannot be waived. If a provision is invalid or unenforceable, it will be limited or removed only to the minimum extent necessary and the remainder will continue.
A failure or delay in enforcement is not a waiver. A waiver must be in writing. You may not assign these Terms or an account without our prior written consent. We may assign these Terms as part of a reorganization, financing, sale of business or assets, or other lawful transfer, subject to law.
These Terms, the applicable privacy policy, transaction details and any agreement expressly incorporated by reference form the entire agreement concerning the relevant Service, except that an applicable Master OTC Trading Agreement controls as stated in Section 12. Headings are for convenience. “Including” means “including without limitation.”
