Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by Bittreo Technologies Ltd., doing business as VBX (“we,” “our,” or “us”). By accessing, registering with, or using our website and services, you agree to be legally bound by these Terms. If you do not agree, do not use our services.

1. Eligibility

You must:

  • Be the age of majority in your province or territory
  • Have legal capacity to enter into a binding contract
  • Not be prohibited from using cryptocurrency services under applicable laws

We may refuse service or terminate your account at any time for regulatory, risk, or compliance reasons.

2. Services Provided

VBX is a non-custodial platform that enables users to:

  • Buy and sell cryptocurrencies
  • Receive settlement directly to their own wallets
  • Send and receive fiat payments via e-transfer or wire

We do not hold cryptocurrency or private keys on your behalf. You are solely responsible for securing your wallet and private keys.

3. Account Registration & Verification

To use our services, you must create an account and complete identity verification as required by Canadian law. We may require:

  • Government-issued ID
  • Proof of address
  • Banking details
  • Source of funds information
  • Additional documentation for enhanced due diligence

We may approve, reject, or request further information at our discretion.

4. Prohibited Conduct

You may not use VBX:

  • For illegal, abusive, or fraudulent activity
  • In violation of AML, sanctions, or other applicable laws
  • For market manipulation, wash trading, or deceptive activity
  • To impersonate any person or misrepresent your identity
  • To interfere with platform functionality or security

Violations may result in termination, reporting to regulators, and legal action.

5. Fees, Rates & Limits

Fees, rates, and limits are shown at the time of each transaction. By completing a transaction, you accept the applicable fees and rate.

We may:

  • Change fees or limits
  • Refuse or delay transactions
  • Modify rate calculations

You are responsible for all taxes related to your use of VBX.

6. Finality of Transactions

All cryptocurrency transactions are final and irreversible. You are responsible for verifying:

  • Wallet addresses
  • Transaction details
  • Control of your private keys

We are not responsible for losses caused by user error or failures of third-party wallets.

7. Third-Party Providers

We use third parties to support our operations, including:

  • Identity verification providers
  • Compliance and risk-screening providers
  • Banking and payment partners
  • Liquidity and execution partners
  • Cloud hosting and infrastructure providers (including providers in the United States)
  • Analytics, marketing, and advertising technology providers
  • Third-party platforms that send customer review requests

These providers may process your personal information as described in our Privacy Policy. We do not control their systems and are not responsible for outages, delays, or failures caused by them.

Your use of third-party platforms accessed through our site is governed by their terms and policies.

8. No Custody or Investment Advice

VBX does not:

  • Store cryptocurrency on your behalf
  • Provide investment, tax, or legal advice
  • Guarantee returns or market conditions

You are responsible for your financial decisions.

9. Security & Risk Acknowledgment

Cryptocurrency markets involve risk. By using VBX, you acknowledge:

  • Market volatility may result in loss
  • Blockchain networks may experience delays or errors
  • You are solely responsible for wallet security

We are not liable for losses arising from phishing, compromised wallets, malware, or poor security practices.

10. Intellectual Property

All content on our platform is owned by VBX or its licensors. You may not copy, modify, reverse-engineer, or commercially exploit any part of the platform.

11. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, punitive, or consequential damages
  • Our total liability to you is limited to the lesser of $500 CAD or the total service fees you paid in the last six months
  • We are not liable for losses caused by unauthorized access, user error, fraud, or third-party service failures (including hosting, analytics, marketing, or review platforms)

12. Indemnification

You agree to indemnify VBX and its officers, directors, and agents against claims arising from:

  • Your use of the services
  • Your breach of these Terms
  • Disputes with third parties related to your activity

13. Termination & Suspension

We may suspend or terminate your account without notice if:

  • You violate these Terms
  • We suspect fraud or criminal activity
  • Required by law or regulatory instruction

Upon termination, access is revoked and pending transactions may be canceled or refunded at our discretion.

14. Force Majeure

We are not responsible for delays or failures caused by events outside our control.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of British Columbia. All disputes must be resolved in the courts of British Columbia.

16. Severability

If any provision is invalid, the remainder remains enforceable.

17. Entire Agreement

These Terms and our Privacy Policy constitute the full agreement between you and VBX.

18. Assignment

We may assign or transfer our rights under these Terms without consent. You may not assign your rights without our written approval.

19. Waiver

Our failure to enforce any provision does not waive our right to enforce it later. Any waiver must be in writing.
